The payment terms.
For the installation of a kitchen:
Subject to any special terms agreed in Writing between the buyer and Seller the Buyer shall pay for the price of the goods
25% deposit before any work started, 80% payment before goods are delivered to site (if payment by cheque allow 7 days to clear the cheque)
the remaining balance to be paid once the job is completed.
For all other jobs a deposit of 25% to secure contract. Depending on the value of the contract part payments required at set intervals, when job completed final payment.
This will be agreed before commencing work.
Full Terms
1 Interpretation
1.1 In These Conditions
“Buyer” – means the person who accepts a quotation of the seller for the sale of the goods or whose order for the goods is accepted by the seller
“Goods” – m the goods (including any installment of the goods or any parts for them) which the seller is to supply in accordance with the conditions
“Seller” - means Romar Construction Services Ltd
“Conditions” – means the standard terms and conditions in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the buyer and seller.
“Contract” - means the contract for the purchase and sale of the goods
“Writing” – includes facsimile, email and letter.
1.2 - Any reference in these conditions to any provision of a statute shall be construed as a reference so that provision as amended, re-enacted or extended at the relevant time
1.3 - The headings in these conditions are for convenience only and shall not affect their interpretation
2 Basis of the Sale
2.1 - The Seller shall sell and the Buyer shall purchase the goods subject to these conditions which shall govern the Contract to the exclusion of any other terms and conditions
2.2 - No variation to these Conditions shall be biding unless agreed in Writing between the authorised representative of the Buyer and Seller.
2.3 - The Sellers employees or agents are not authorised to make any representations concerning the Goods unless confirmed by the Seller in Writing. In entering into the Contract the Buyer acknowledges that it does not rely on and waives any claim for breach of, any such representations which are not confirmed.
2.4 - Any advice or recommendations given by the Seller or its employees or agents to the Buyer or its employees or agents as to the storage, application of the Goods which is not confirmed in Writing by the Seller or stated herein is followed or acted upon entirely at the Buyers own risk and accordingly the Seller shall not be liable for any advice or recommendation which is not confirmed
2.5 - Any typographical, clerical or other error or omission in any sales literature, quotation, price list acceptance of the offer, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller
2.6 – Any additional work carried out not covered by the original quote will be charged at extra cost, this additional work must be agreed in Writing with the Seller and Buyer before the work is started.
3 Orders
3.1 – If the goods are to be manufactured or any process is to be applied to the Goods by the Seller in accordance with a specification submitted by the Buyer, the Buyer shall indemnify the Seller against all loss, damages, costs and expenses, awarded against or incurred by the Seller in connection with or paid or agreed to be paid by the Seller in settlement of any claim for infringement of any patent, copyright, design, trade mark or other industrial or intellectual property rights of any other person which result from the Sellers use of the Buyers specifications
4 Price of Goods
4.1 - The price of Goods shall be the Sellers quoted price, or when no price has been quoted (or a quoted price is no longer valid), an update quote will be supplied to the Buyer.
4.2 – Unless otherwise stated , all prices quoted or set out in the Sellers quote or other published price list are exclusive of any applicable value added tax, which the Buyer shall be additionally liable to pay the Seller
4.3 – The cost of pallets and returnable containers will be charged to the Buyer in addition to the price of the Goods, but full credit will be given to the Buyer provided the containers are returned undamaged to the Seller before the due payment date.
5 - Terms of Payment

5.2 – the Seller reserves the right to charge interest on all overdue accounts at the rate of 2% per annum above Bank of Scotland base lending rate from time to time
5.3 – if the Buyer does or suffers to be done anything which might prejudice his ability to pay the full price for the goods the Seller, in addition to all other rights it may have, reserves the right to treat the contract for Goods unpaid as repudiated by the Buyer
6 – Risk and Property
6.1 - Risk of damage to or loss of the Goods shall pass to the Buyer at the time that the Buyer takes delivery of the Goods
6.2 – Notwithstanding delivery and the passing of risks in the Goods or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of the price of the Goods and all, other Goods agreed to be sold by the Seller to the Buyer for which payment is then due.
7 - Warranties and Guarantee
7.1 - Any claim by the Buyer which is based on any defect in the quality or condition of the Goods or their failure to correspond with specification shall be notified to the Seller within 7 days or within a reasonable time after discovery of the defect or failure.
7.2 – When any valid claim in respect of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to the Seller in accordance with these conditions, the Seller shall replace the Goods (or the part in Question) and make good any defect reported within the specified time period.
7.3 – Any claims which arise will only be made good if all manufacturers recommended instructions have been carried out.
